Terms of Service

These Terms of Service ("Terms") govern your access to the website cerebrumx.qzz.io and the software and IT services provided by CEREBRUMX (OPC) PRIVATE LIMITED ("CEREBRUMX", "we", "us", "our"), a One Person Company incorporated in India. By using this website or engaging our services, you agree to these Terms.

01About us & our services

CEREBRUMX is a Bengaluru, India based engineering studio. We design and build software for our clients, including AI automation, bot development, web and mobile application development, SaaS platforms, systems integration and managed IT and cloud services. We are a technology and IT services provider — we build software and systems for our clients.

02Engagements & quotations

Enquiries made through this website or by email are requests for information and do not create a binding contract. Every engagement is defined in a separate written proposal, quotation or statement of work agreed between you and CEREBRUMX, which sets out the scope, deliverables, timeline and fees. Work begins only after that proposal is accepted.

03Fees & invoicing

Fees are quoted and invoiced in Indian Rupees (INR) unless otherwise agreed in writing, and are typically billed in milestones. Invoices are payable within the period stated on the invoice. Any applicable taxes are charged as per Indian law.

04Client responsibilities

To deliver on time we rely on you to provide accurate information, timely approvals, and any access or materials a project reasonably requires. Delays in these may affect agreed timelines.

05Intellectual property

Unless a written agreement states otherwise, ownership of the custom deliverables created for you transfers to you upon full payment. CEREBRUMX retains ownership of its pre-existing tools, frameworks, libraries and know-how, and grants you a licence to use them as embedded in your deliverables.

06Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform the engagement.

07Warranties & limitation of liability

We perform our services with reasonable skill and care in line with industry standards. To the maximum extent permitted by law, CEREBRUMX is not liable for indirect or consequential losses, and our total liability for any engagement is limited to the fees paid for that engagement. Nothing in these Terms limits any liability that cannot be limited under applicable law.

08Termination

Either party may terminate an engagement as set out in the applicable proposal or statement of work. On termination, you remain liable for fees for work performed up to the termination date (see our Refund & Cancellation Policy).

09Acceptable use of this website

You agree not to misuse this website, attempt to gain unauthorised access, or use it for any unlawful purpose.

10Governing law & jurisdiction

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute arising from these Terms or our services.
